1. Certified ID Copies of Directors and Incorporators
Each director and incorporator must provide a certified copy of their ID or passport. This certification needs to be recent (usually within three months) to comply with CIPC requirements. For foreign directors, a certified passport copy is necessary.
2. Proof of Customer Code Registration
Before starting the registration, you must set up a Customer Code with CIPC, which serves as your unique identifier. If you’re registering on behalf of someone else, make sure their details are used as the incorporator, not yours.
3. Signed Power of Attorney (if applicable)
If someone else is handling the registration process on behalf of the business owner or directors, a signed power of attorney must be provided. This authorises that person to complete and submit the registration documents on behalf of the business.
4. Name Reservation Certificate (CoR9.4), if Applicable
If you’ve already reserved a business name before starting the registration, include the Name Reservation Certificate (CoR9.4) in your application. If you haven’t reserved a name, CIPC will automatically register the business under an enterprise number, which can be updated later.
5. Resolution for Incorporators that are Trusts or Companies
If a trust or another company is acting as an incorporator, you’ll need a formal resolution that authorises a specific representative to act on its behalf. Include a certified ID copy of this representative as well.
6. Physical and Postal Addresses for Each Director
Each director’s physical and postal address is required for registration. Ensure these details are accurate, as CIPC may contact directors if any issues arise during the registration process.
7. Contact Details for All Directors
Directors must provide a unique email address and cell phone number. CIPC requires these for individual verification, so shared contact information among directors isn’t permitted.
